CONDITIONS GENERALES DE VENTE   [mis à jour : 19/01/2021]

1. Définitions

La « Société » désigne 2F Technologies SAS. Le « Client » désigne l'autre partie contractante. Les « Produits » comprendront tous les biens et services fournis par la Société. La « Commande » désigne la commande passée par le Client auprès de la Société pour les Produits. Le « Contrat » désigne le Contrat conclu entre le Client et la Société pour les Produits ; ce Contrat est conclu lorsque la Société accuse réception de la Commande du Client.

 

2. Généralités

La Commande est effectuée sur la base des présentes conditions. Toute modification nécessite l’accord écrit de la Société et sera reportée sur l’accusé de réception de la Commande par la Société. Aucune autre condition ne sera opposable à la Société.

 

3. PRIX

Sauf indication contraire, tous les prix sont départ usine, hors assurance et transport, qui seront facturés en supplément. Tous les prix sont hors taxe sur la valeur ajoutée, qui sera facturée au taux en vigueur au moment de la livraison.

 

4. AJUSTEMENT DES PRIX

La Société se réserve le droit à tout moment avant livraison de modifier le prix des Produits si, après la date du devis, intervient un changement économique, douanier ou fiscal indépendant de la volonté de la Société.

 

5. MODIFICATIONS OU ANNULATIONS

Après envoi de l’accusé de réception par la Société, aucune Commande ne peut être modifiée ou annulée sans son approbation écrite.

 

6. PAIEMENTS

a) Les factures sont établies après l’expédition. Le paiement doit intervenir dans le délai indiqué sur l’accusé de réception de la Commande ou sur la facture.

b) En cas de dépassement du délai de paiement, un intérêt de retard d’un taux de 2% au-delà du taux d’escompte en vigueur sera facturé, sous réserve de tout autre préjudice.

c) En cas de retards de paiement ou de doute sur la solvabilité du client, la Société peut, sous réserve d’autres droits, exiger des garanties ou un paiement anticipé pour les livraisons à venir.

d) Sauf accord spécifique, le paiement doit être effectué par chèque ou virement bancaire.

 

7. LIVRAISON

a) La livraison des Produits de la Société est effectuée selon les conditions stipulées dans l’accusé de réception de la Commande. Sauf stipulation contraire, la livraison et le transport sont effectués aux seuls risques du client c'est-à-dire EXWORKS (Cf. ICC Incoterms 2020).

b) Si accord exceptionnel de livraison en DAP ou DDP (Cf. ICC Incoterms 2020), en cas de sinistre ou de perte des Produits, ceux-ci doivent être signifiés dans les meilleurs délais à la Société. Une confirmation du transporteur doit être présentée à la Société indiquant le sinistre ou la perte.

c) Toutes les dates prévues spécifiées au Client pour l'expédition des Produits sont fournies de bonne foi. La Société ne peut cependant pas être tenue responsable en cas de retard, de dommages ou de pertes financières subis par le Client en raison du non-respect de ces dates. Le client ne pourra pas refuser les Produits en raison d'un tel retard. La Société peut effectuer des livraisons partielles.

d) La Société peut, à son entière discrétion, suspendre la livraison en cas de retard de paiement du Client.

 

8. Clause de réserve de propriété

a) Les Produits vendus restent la propriété de la Société jusqu’à leur paiement complet par le Client.

b) La réserve de propriété concerne également les produits consommés par le Client à hauteur de leur valeur de vente.

 

9. Garantie

a) Le Client doit examiner sans retard les Produits livrés et signifier à la Société d’éventuels défauts par écrit, dans les meilleurs délais. Des réclamations ne sont acceptées que si elles interviennent dans les 3 mois suivant l’expédition des Produits.

b) L’obligation de garantie de la Société se limite, à son choix, au remplacement des Produits, à la réduction du prix ou à la réparation. Un Produit objet de réclamation ne peut être restitué à la Société qu’avec son accord écrit.

c) L’obligation de garantie de la Société s’appliquera uniquement aux conditions ci-dessous :

i) les Produits sont retournés correctement emballés ;

ii) les Produits n'ont pas été mal utilisés, mal manutentionnés, surchargés ou modifiés de quelque manière que ce soit par le Client, ou utilisés à des fins autres que celles pour lesquelles ils ont été conçus ;

iii) si les produits ont été fabriqués selon la conception du client, les défauts ne résultent pas d'une conception défectueuse du client.

d) Dans le cas de Produits qui ne sont pas fabriqués par la Société, toute garantie sera limitée à celle donnée à la Société par son fabricant.

 

10. RESPONSABILITÉ

a) Sauf accord spécifique, la Société ne garantit pas les Produits pour une application particulière.

b) La Société ne pourra pas être tenue responsable de dommages, pertes financières ou blessures, directs ou indirects, survenus au Client quelle qu’en soit la cause.

c) La Société ne pourra pas être tenue responsable de la défaillance d’un produit du Client incluant un Produit de la Société.

d) Dans le cas où la Société serait jugée responsable de dommages ou pertes financières liés aux Produits, sa responsabilité ne dépassera en aucun cas le prix de vente des Produits concernés.

 

11. Force Majeure

En cas de force majeure, notamment en cas de circonstances ou événements qui ne peuvent pas être empêchés, malgré la diligence de la Société, les obligations contractuelles des parties seront suspendues pendant la durée de la perturbation. Tel est notamment le cas pour les délais de livraison.

Si le cas de force majeure dépasse la durée de 3 mois, les deux parties seront en droit de se rétracter du contrat. Ceci s’applique également si le cas de force majeur impacte les fournisseurs de la Société.

 

12. Lieu d’exécution et tribunal compétent

Le lieu d’exécution est le siège de la Société à Enghien les Bains (Val d’Oise – France). Le tribunal compétent est le tribunal de Pontoise.

1. DEFINITIONS

The “Company” shall mean 2F Technologies SAS. The "Customer" shall mean the other contracting party. The “Products” shall include all the goods and services supplied by the Company. The "Order" shall mean the order placed by the Customer with the Company for the Products. The “Contract” shall mean the Contract made between the Customer and the Company for the Products; this Contract is formed when the Company acknowledges the Customer's Order.

 

2. GENERAL

The Order shall be deemed to be placed subject to these conditions. No variation of these conditions is applicable unless expressly accepted in writing by the Company and stipulated on the Company's acknowledgment of the Order. No other condition will be opposable to the Company.

 

3. PRICES

Unless otherwise stated all prices are ex-Works excluding insurance and carriage, which will be charged extra at cost. All prices are exclusive of Value Added Tax, which will be charged at the rate current at the time of delivery.

 

4. PRICE ADJUSTMENT

The Company reserves the right at any time prior to delivery to vary the price quoted for the Products if following the date of the quotation there is any change in the economic, customs or fiscal situation beyond the control of the Company.

 

5. MODIFICATIONS OR CANCELLATIONS

After acknowledgement of the Order by the Company, no Order may be modified or canceled without its written consent.

 

6. PAYMENTS

a) Invoices are issued after shipment. Payments must be made within the time period stipulated on the acknowledgment of the Order or on the invoice.

b) Any sum not paid on the due date shall be subject to an interest charge at the rate of 2% per month.

c) In the event of late payment or doubt as to the solvency of the Customer, the Company may demand guarantees or advance payment for future deliveries.

d) Unless specifically agreed, payment must be made by check or bank transfer.

 

7. DELIVERY

a) The delivery of the Company's Products is carried out under the conditions stipulated in the acknowledgment of the Order. Unless otherwise specified, delivery and transport are carried out at the sole risk of the Customer, i.e. Ex-Works (Cf. ICC Incoterms 2020).

b) Exceptionally, if there is an agreement for DAP or DDP (Cf. ICC Incoterms 2020), in the event of a claim or loss of the Products, these must be notified to the Company as soon as possible. Confirmation from the carrier must be provided to the Company indicating the claim or loss.

c) All scheduled dates specified to the Customer for shipment of the Products are provided in good faith. However, the Company shall not be under any liability for any delay, damage or financial loss suffered by the Customer due to non-compliance with these dates. The Customer shall not be entitled to refuse acceptance of the Products as a consequence of such a delay. The Company may make partial deliveries.

d) The Company may in its absolute discretion withhold delivery pending payment of any sum due from the Customer to the Company.

 

8. TITLE

a) The Customer shall acquire title to the Products only when payment has been received by the Company.

b) The ownership of the Products also concerns products consumed by the Customer up to their sale value.

 

9. WARRANTY

a) The Customer shall inspect the delivered Products without delay and notify the Company of any defects in writing as soon as possible. Complaints are only accepted if notified within 3 months from the date of shipment.

b) The Company's warranty obligation is limited, at its option, to the replacement of the Products, to the reduction of the price or to the repair. A Product subject to a complaint can only be returned to the Company with its written agreement.

c) The Company's warranty will only apply provided that:

i) the Products are returned properly packed;

ii) the Products have not been misused, mishandled, overloaded or amended in any way by the Customer, or used for any purpose other than that for which they were designed;

iii) If the Products have been manufactured to the Customer's design the defects are not as the result of faulty design of the Customer.

d) When Products are not manufactured by the Company, any warranty will be limited to that given to the Company by its manufacturer.

 

10. LIABILITY

a) Unless specifically agreed the Company does not warrant that the Products are suitable for any particular application.

b) The Company shall not be under any liability for any contingent or consequential loss or damage or injury to the Customer howsoever arising.

c) The Company shall not be under any liability for infringement arising from the combination of any Products with items not supplied by the Company.

d) In the event of the Company being found liable for any loss or damage arising out of the Products its total liability shall not under any circumstances exceed the selling price of the Products concerned.

 

11. FORCE MAJEURE

In the event of force majeure, in particular in the event of circumstances or events which cannot be prevented despite the diligence of the Company, the contractual obligations of the parties will be suspended for the duration of the disruption. This is particularly the case for lead times.

If the case of force majeure exceeds the duration of 3 months, both parties shall be entitled to withdraw from the contract. This also applies if the force majeure impacts the Company's suppliers.

 

12. PLACE OF EXECUTION AND COMPETENT COURT

The place of performance is the registered office of the Company in Enghien les Bains (Val d´Oise - France). The competent court is the court of Pontoise.
